Hey List!

I get approached to "partner" with people on these type of efforts all the
time.  The problem with this scenario is simple - you can build a great
site, you can even make sure that it is found by the SEs - initially
anyway.  You can even provide all the information the client needs to know
what is necessary on /their side/ to be successful.

However....

You cannot insure this client knows how to run a business.
You cannot instill the work ethic and commitment that will be required.
You cannot presume the client will continue to invest as necessary to keep
the site growing and current.
You cannot guarantee the client even has a concept or product that will fly.

Then, add to that, what if they do not do what is necessary to promote the
site off-line or invest in tracking and maintaining their search engines
after the launch?  Your great site won't get found.  (Many of our clients
fall short here - even though they are provided with the information that
empowers them with the necessary knowledge.)  These issues will cause the
best of sites to fail - and, all of this is out of your control!

When approached with this kind of offer it is generally from one with the
mentality geared towards not wanting to pay you but needing /you/ to be
successful.  They assume they will "get rich quick" and go IPO - and they
are more than pleased to take you with them. (They buy into the hype not
the reality of the Web.)  Heck, you have the skills and knowledge they need
to pull this off - if they fail - well, how do you get compensated?  You
probably won't.  And, with this mentality comes the definite possibility
that you may be the one who is blamed for them not being successful....... :-0

Stick to your guns, advise your fees and do the great job that you always
do!  And, if your client is a smashing success, you have something to brag
about in your portfolio.   ;-)
