I used the one from "Business Contracts Kit for Dummies" (ISBN 0764552368) 
and modified it for my own use.

I *HIGHLY* suggest that you spend a few hundred dollars and have a lawyer 
review it after you make your changes (or even if you don't make any 
changes).  My lawyer pointed out several items to me which are handled 
differently in my state than the state I moved here from.
