On a more general note and not specifically having to do with this 
particular situation:

Having a web design agreement is not the answer to the issues.  Having a 
*thorough* web design and development agreement is a much different 
matter.  There are all kinds of cut and paste designer agreements to be 
found.  Most of them are pretty much a waste of time since the 
designer/client relationship is a complex one, especially if the site is 
going to take any amount of time of consequence to build, and these 
freebies tend to not cover many of the issues that need to be covered.  If 
someone paid an experienced attorney to draft a design agreement, the 
chances are they are not going to provide it to others for free.  If 
someone did not pay an experienced attorney to draft an agreement, why 
would anyone want to copy that agreement?  Free legal advice is generally 
worth what you have paid for it.
