I would like to incorporate my online business. I searched Ivan's site
fot the answer to my question, but did not find it, so here goes:
If I form a Nevada corporation to use strictly for doing business
online, do I have to register the newly formed corporation in my
home state as a foreign corporation just because I live there?
I, naturally, do the design for the web site used for the business
from home. But the web site is physically located in another state
(hosted by pair).
I have seen a discussion of this issue on a different forum. Several
people said that you do not have to register your business as a foreign
corporation in your home state as long as your business is 100%
Internet based. One person (an accountant) said he had to register his
Delaware corporation in New York simply because he lives in New York
and does the web design from his NYC appartment.
I suggested that he and his corporation are not one and the same, and
that his corporation should hire him as an independent contractor to do
the web design. Then he would pay NY taxes on whatever the corporation
pays him for the web design as a sole proprietor, but that the corporation
itself should not be registered as a foreign corporation in NY.
I live in Wisconsin. I intend to move to another state as soon as I can
afford it. So it makes no sense for me to form a Wisconsin corporation.
Nevada seems the right choice. But I want to make sure to do it right
and legally.
Again, the business is 100% Internet based. I wrote some software that
I market off one of my web sites, and I participate in various associate
programs. I also want to start my own associate program eventually.
Hint to Ivan: It would be nice to see some articles on associate
programs on your web site.
